A Success for Guangdong Jinke's 17^th Shareholders Meeting &

the Second Meeting of the Third Board of Directors

From March 31^st to April 1^st, Guangdong Jinke's 17th Shareholders Meeting and the Second Meeting of the Third Board of Directors were successfully held in Guangzhou City. The meetings announced the change of directors for some shareholders, the hiring of three vice general manager and the passing of each company's work report and financial report.

The directors participating in the Board of Directors reached a consensus that there were three problems (reduced amounts of tobacco leaves that were overstocked, excessive production of reconstituted tobacco and the increasingly reduced amounts of high-quality tobacco leaves) facing Guangdong Jinke in 2015. Moreover, the directors also concluded that Guangdong Jinke had finished each economic target and made great progress in marketing, raw material purchasing, internal management, technology innovation, safety in production, environmental protection, among others, in 2015.

The meetings required that, in 2016, the Company should make the following four efforts: 1. while maintaining the current good economic situation, make more effort to achieve each annual target; 2. make more effort in internal management, further solidifying the foundation for the development of the Company and improving the Company's competitiveness on the market; 4. make more effort in safety in production, ensuring the safe and stable development of the Company.
